3. Scope of Services

4. Quotations and Proposals
4.1 All quotations provided by Ophirton Glass Works are valid for a period of [30] days from the date of issue, unless otherwise stated in writing.
4.2 A quotation does not constitute a binding agreement. Work will only commence upon receipt of a signed acceptance of the proposal and, where applicable, a deposit payment.
4.3 Prices are quoted in South African Rand (ZAR) and are exclusive of Value-Added Tax (VAT) unless explicitly stated otherwise. VAT will be charged at the prevailing rate as prescribed by South African law.
4.4 Ophirton Glass Works reserves the right to revise pricing in the event that the scope of work changes materially from the original brief.
5. Payment Terms
5.1 Unless otherwise agreed in writing, the following payment structure applies:
- A non-refundable deposit of [50%] of the total project fee is required before work commences.
- The remaining balance is due upon project completion and prior to the final delivery of files, access credentials, or go-live of any deliverable.
5.2 For ongoing or retainer-based services, invoices will be issued [monthly in advance / monthly in arrears] and are payable within [7] days of the invoice date.
5.3 Payment may be made via electronic funds transfer (EFT) to the banking details provided on our invoice. Ophirton Glass Works does not accept cash payments unless expressly agreed to in writing.
5.4 All invoices are issued in ZAR. Where services are rendered to international clients, the exchange rate and any associated bank charges are the sole responsibility of the Client.
5.5 Ophirton Glass Works reserves the right to suspend or withhold services in the event of non-payment.
6. Late Payments and Interest
6.1 Invoices not settled within the agreed payment period will attract interest at the maximum rate permissible under the National Credit Act 34 of 2005, or such other rate as may be agreed between the parties in writing.
6.2 Ophirton Glass Works reserves the right to recover any reasonable legal or collection costs incurred as a result of the Client’s failure to pay timeously.
7. Cancellations and Refunds
7.1 The Client may cancel a project at any time by providing written notice to Ophirton Glass Works.
7.2 In the event of cancellation, the Client will be liable for payment of all work completed up to the date of cancellation, calculated at our standard hourly rate where the project was quoted as a fixed fee.
7.3 The initial deposit paid is non-refundable, regardless of the stage at which the project is cancelled.
7.4 Ophirton Glass Works reserves the right to cancel a project in the event of a material breach by the Client, including but not limited to non-payment, failure to provide required information, or conduct that is unlawful or harmful to our business. In such cases, the Client will remain liable for work completed to date.
7.5 Refunds, where applicable, will be processed within [14] business days.
8. Client Responsibilities
8.1 The Client agrees to provide Ophirton Glass Works with accurate, complete, and timely information, content, feedback, and materials necessary for the completion of the project.
8.2 Delays caused by the Client’s failure to provide required input, approvals, or materials may result in revised delivery timelines and/or additional charges, which will be communicated to the Client in writing.
8.3 The Client warrants that any content, images, logos, or other materials provided to Ophirton Glass Works are owned by or licensed to the Client, and that their use does not infringe upon the intellectual property rights of any third party. The Client indemnifies Ophirton Glass Works against any claims arising from such materials.
8.4 The Client is responsible for maintaining the confidentiality of any access credentials provided to them by Ophirton Glass Works.
9. Intellectual Property
9.1 Upon receipt of full and final payment for a project, Ophirton Glass Works assigns to the Client all intellectual property rights in the final deliverables produced specifically for that project, to the extent permissible by law.
9.2 Ophirton Glass Works retains ownership of all intellectual property in:
- Preliminary work, drafts, concepts, and rejected designs do not form part of the final deliverable.
- Proprietary tools, methodologies, frameworks, templates, and code libraries were developed independently of the Client’s project.
- Any third-party assets, software, plugins, or stock material incorporated into the deliverable, which remain subject to the licensing terms of their respective owners.
9.3 The Client acknowledges that certain third-party tools and platforms used in the delivery of services (including but not limited to WordPress, WooCommerce, and licensed themes or plugins) are subject to their own licensing agreements, for which the Client is responsible.
9.4 Ophirton Glass Works reserves the right to display completed work in its portfolio, case studies, or marketing materials, unless the Client expressly requests confidentiality in writing.
10. Confidentiality
10.1 Both parties agree to treat as confidential all proprietary information disclosed by the other party in connection with the services, and not to disclose such information to any third party without prior written consent, except where required by law.
10.2 This obligation of confidentiality survives the termination of any agreement between the parties.
11. Limitation of Liability
11.1 To the maximum extent permitted by applicable South African law, Ophirton Glass Works shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided, including but not limited to loss of revenue, loss of data, loss of business opportunity, or reputational harm.
11.2 Ophirton Glass Works’s total aggregate liability to the Client shall not exceed the total fees paid by the Client for the specific project or service giving rise to the claim.
11.3 Ophirton Glass Works does not guarantee specific results, rankings, conversion rates, or business outcomes arising from any service provided, including digital marketing or search engine optimisation services.
11.4 Ophirton Glass Works is not liable for any downtime, data loss, security breaches, or issues arising from third-party platforms, hosting providers, plugins, or services used in the delivery of a project.
12. Warranties and Representations
12.1 Ophirton Glass Works warrants that services will be performed with reasonable skill and care, in a professional manner consistent with industry standards.
12.2 All services are provided “as is” and “as available”. To the extent permitted by law, Ophirton Glass Works excludes all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
